Los Principios de UNIDROIT sobre Contratos Comerciales Internacionales
Los Principios de UNIDROIT en materia de contratos mercantiles internacionales (“Principios de UNIDROIT” o “Principios”) es un instrumento jurídico que contiene normas y principios aplicables a contratos transfronterizos.
Los Principios ofrecen una normativa “neutral” en materia de contratos, no vinculada necesariamente con ningún país en particular y con un justo equilibrio entre los estilos de las tradiciones jurídicas romanista y anglosajona.
La presentación examina cuáles son los objetivos que persiguen los Principios de UNIDROIT, cómo fueron elaborados y cuál es la utilización práctica, actual y potencial, de los Principios, conforme lo expresa su preámbulo y la práctica de los organismos judiciales y tribunales arbitrales.
Es necesario distinguir entre el uso de los Principios en el contexto judicial y arbitral.
La presentación concluye con una visión general de los 211 artículos que integran los Principios, destacando algunas diferencias con otros instrumentos internacionales también destinados a regir los contratos internacionales.
The UNIDROIT Principles on International Commercial Contracts
The UNIDROIT Principles on International Commercial Contracts (the “UPICC” or “the Principles”) are a set of rules and principles applicable in cross-border transactions.
The Principles are “neutral” in the sense that they do not resemble, in style or content, the rules of national contract law pertaining to a particular legal system. The UPICC reflect a compromise between the approaches prevailing in common law and civil law jurisdictions.
The lecture examines the purpose of the UNIDROIT Principles, how they were conceived and developed, as well as their various uses and potential uses, as expressed in the Preamble to the Principles and their application by lawyers, judges, and arbitrators.
A distinction should be drawn between the application of the UPICC by judges, generally constrained to apply State law, and the use of the UPICC in an arbitral setting, given that most modern arbitration laws and rules invite and accept the adoption of non-State (“soft”) “rules of law” in international arbitration.
The lecture concludes with a general overview of the UPICC’s 211 articles, currently comprising 11 different chapters on a variety of issues addressing conventional obligations
